We may limit or cancel quantities that appear to have been ordered by dealers, distributors, resellers, or other commercial purchasers when the purchaser is not an approved Bird Cronin Inc. commercial account or authorized reseller.

You are responsible for providing a complete and accurate delivery address. Additional costs resulting from an incorrect or incomplete address may be charged to you.

Title and risk of loss pass in accordance with applicable law and the shipping terms stated in your order, quotation, or commercial agreement.

Please inspect your order promptly upon delivery. Damaged or incorrect items must be reported in accordance with our Return and Refund Policy.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES. IN THOSE JURISDICTIONS, THESE DISCLAIMERS APPLY ONLY TO THE EXTENT PERMITTED BY LAW.

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Bird Cronin Inc., Shopify, and their respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from third-party claims, damages, losses, liabilities, and reasonable attorneys’ fees arising from:

We will provide reasonable notice of an indemnifiable claim. A delay in providing notice will not relieve you of your obligations unless the delay materially prejudices your ability to defend the claim.

We may control the defense and settlement of an indemnifiable claim at your expense, including the selection of counsel. We will not agree to a settlement requiring you to accept a non-monetary obligation without your consent, which must not be unreasonably withheld.

You agree to reasonably cooperate in the defense of an indemnified claim.

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will be enforced to the greatest extent permitted by law.

Any unenforceable portion will be severed, and the determination will not affect the validity or enforceability of the remaining provisions.

Subject to applicable law, any legal action arising from or relating to these Terms or the Services must be brought in the state or federal courts located in Los Angeles County, California. You and Bird Cronin Inc. consent to the personal jurisdiction and venue of those courts.

Nothing in this section prevents a consumer from exercising rights or bringing a claim in another jurisdiction when that right cannot lawfully be waived.
